We conduct title searches at national intellectual property offices to ensure the corporate entity transferring title in the corporate transaction is the owner of record of the intellectual property and that title is being transferred to all intellectual property relevant to the transaction.

Lien Searches

We conduct lien searches at national intellectual property offices to determine whether there are any outstanding liens recorded against the intellectual property being transferred in the corporate transaction. For certain companies, intellectual property may be a significantly valuable asset and one which is used to secure financing. Institutional errors can cause delays in processing documentation necessary for a clear title.

Security Interests

We also record documents to place the public on notice that an entity has an interest in intellectual property. We work with the lawyers handling the corporate transaction to ensure the documents may be recorded both in the United States and in other countries. We also work with lawyers throughout the world to record security interests in the appropriate countries when intellectual property is used to secure financing.
